As you hold ownership and responsibility for Your Content, we require you to provide specific legal permissions outlined in the License Grant to Us section. These permissions pertain to Your Content. If you upload Content already licensed to grant us the necessary permissions for our Service, no extra license is necessary. It's understood that you won't receive payment for the rights granted in the License Grant to Us section. These licenses terminate when you remove Your Content from our servers.

These actions involve copying to our database, creating backups, displaying to you, and analyzing it on our servers. Importantly, this license does not permit StaTechs to sell or distribute Your Content outside of our Service provision, except as required for archiving.
StaTechs and its licensors, vendors, agents, and/or content providers maintain ownership of all intellectual property rights associated with the Website and Service. We reserve all rights not explicitly granted to you under this Agreement or by law. The copyright for the look and feel of the Website and Service, including the HTML/CSS, JavaScript, and visual design elements or concepts, belongs to StaTechs Corporation. Any duplication, copying, or reuse of these elements requires express written permission from StaTechs.
By utilizing any APIs (Application Provider Interface) of Version^, including using the API through a third-party product that accesses Version^, you are in agreement with these Terms of Service, along with the provisions outlined in this Section.
Engaging in abuse or making excessively frequent requests to Version^ via the API may lead to the temporary or permanent suspension of your Account's API access. StaTechs, at our discretion, will determine instances of abuse or excessive usage. A reasonable attempt to provide prior warning via email will be made before any suspension. Sharing API tokens to exceed rate limitations is prohibited. The API must not be used to download data or Content from Version^ for spamming purposes. All Version^ API use is governed by these Terms of Service and the Version^ Privacy Statement. Subscription-based access to our API may be offered by StaTechs for Users requiring high-throughput access or access intended for resale of our Service.
Beta versions may lack support or undergo changes without prior notice. If you participate in these programs, you may receive confidential information that must be kept private while the program remains in its beta phase. Your feedback is highly appreciated to enhance the quality of our Beta version.
As a Beta user, you may access exclusive information not available to the public. Given the sensitive nature of this information, it's crucial to maintain its confidentiality. Confidentiality Obligations: Any non-public Beta information provided by us, including details about a private Beta, is considered StaTechs confidential information ("Confidential Information"), regardless of whether it is marked as such. You agree to use this Confidential Information solely for the purpose of testing and evaluating the Beta ("Purpose"), and not for any other reason. You commit to exercising the same level of care as you would with your confidential information, taking reasonable precautions to prevent unauthorized use, disclosure, publication, or dissemination of our Confidential Information. You also pledge not to disclose, publish, or disseminate any Confidential Information to third parties, unless we explicitly permit such disclosure.
We constantly strive to enhance our products and services, and your feedback as a Beta user plays a crucial role in achieving that. If you choose to provide us with any ideas, know-how, algorithms, code contributions, suggestions, enhancement requests, recommendations, or any other feedback regarding our products or services ("Feedback"), you acknowledge and agree that StaTechs will have a royalty-free, fully paid-up, worldwide, transferable, sub-licensable, irrevocable, and perpetual license. This license allows us to implement, use, modify, commercially exploit, and incorporate the Feedback into our products, services, and documentation.
You bear responsibility for any fees related to your use of Version^. We commit to transparently and accurately communicating these fees to you. Any changes in prices will be communicated well in advance. If you agree to a subscription price, it will remain unchanged for the payment term's duration. However, prices are subject to modification at the end of a payment term.
By accepting these Terms, you authorize us to charge your on-file debit or credit card, or other approved payment methods, for the fees you authorize for Version^. You are accountable for all fees, including taxes, related to your use of the Service. Using the Service implies your agreement to settle any charges incurred during its use. Ensuring a valid payment method for paid Accounts is your responsibility, while Free Accounts are exempt from providing payment information.
StaTechs reserves the right to immediately suspend or terminate your access to the entire Website, or specific parts, with or without cause and with or without notice. We may refuse service to anyone at any time.
We will retain and use your information as necessary to fulfill legal obligations, resolve disputes, and enforce agreements. Upon cancellation or termination, we will delete your full account and data within 90 days, except for information in encrypted backups. Once canceled, this data is unrecoverable. Upon request, we will reasonably attempt to provide an Account owner with a copy of your lawful, non-infringing Account contents within 90 days of cancellation, termination, or downgrade.
Provisions of this Agreement that, by their nature, should survive termination will do so, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
For contractual purposes, you (1) agree to receive communications from us electronically, sent to the email address provided or through the Service; and (2) acknowledge that all Terms of Service, agreements, notices, disclosures, and other communications we electronically provide meet the legal requirements as if they were on paper. This provision does not impact your non-waivable rights.
Communications via email or messaging system will not constitute legal notice to StaTechs or any of its officers, employees, agents, or representatives in situations requiring notice to StaTechs under contract or any applicable law or regulation. Legal notice to StaTechs must be in writing and served on StaTechs' legal agent.

StaTechs delivers the Website and the Service "as is" and "as available," without any kind of warranty. This includes, but is not limited to, any express, implied, or statutory warranties concerning the Website and the Service, such as merchantability, fitness for a particular purpose, title, security, accuracy, and non-infringement.
StaTechs does not guarantee that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free; that the information provided through the Service is accurate, reliable, or correct; that any defects or errors will be corrected; that the Service will be available at any specific time or location; or that the Service is free of viruses or other harmful components. You bear full responsibility and risk of loss resulting from your downloading and/or use of files, information, content, or other material obtained from the Service.
We will not be liable for damages or losses arising from your use or inability to use the service or otherwise arising under this agreement. You understand and agree that we will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential or exemplary damages, however arising, that result from the use, disclosure, or display of your User-Generated Content; your use or inability to use the Service; any modification, price change, suspension or discontinuance of the Service; the Service generally or the software or systems that make the Service available; unauthorized access to or alterations of your transmissions or data; statements or conduct of any third party on the Service; any other user interactions that you input or receive through your use of the Service; or any other matter relating to the Service. Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy set forth in this Agreement is found to have failed of its essential purpose. We will have no liability for any failure or delay due to matters beyond our reasonable control.
You are accountable for your use of the service. In the event of harm to someone else or a dispute with another user, we will not intervene. If a dispute arises with one or more users, you agree to release StaTechs from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, connected with such disputes. You further agree to indemnify, defend, and hold us harmless from any claims, liabilities, and expenses, including attorneys’ fees, arising from your use of the Website and the Service, including any violation of this Agreement. StaTechs will (1) promptly notify you of the claim; (2) give you sole control of the defense and settlement (provided you may not settle unless it unconditionally releases GitHub of all liability); and (3) provide reasonable assistance at your expense.
We aim to keep our users informed about important changes to our terms. We may modify this agreement at any time, and we will notify users of any material changes, allowing sufficient time for adjustment. We retain the right, at our sole discretion, to amend these Terms of Service, and such amendments will be reflected in the updated terms. Users will be notified of material changes, including price increases, at least 30 days before the change takes effect. This notification will be conveyed through a notice on our Website or an email sent to the primary email address specified in your Version^ account. Continued use of the Service after this 30-day period constitutes agreement to the revised terms. For other modifications, your continued use of the Website signifies agreement to our revised Terms of Service. Unless applicable law dictates otherwise, this Agreement between you and StaTechs, as well as any access to or use of the Website or the Service, is governed by the federal laws of the United States of America and the laws of the State of Texas, without consideration of conflict of law provisions. Both you and StaTechs consent to the exclusive jurisdiction and venue of the courts situated in the City of San Antonio and County of Bexar, Texas.
StaTechs reserves the right to assign or delegate these Terms of Service and/or the Version^ Privacy Statement, either in whole or in part, to any person or entity at any time, with or without your consent. This includes the license grant outlined in the License Grant to Us section. You are not permitted to assign or delegate any rights or obligations under the Terms of Service or Privacy Statement without our prior written consent. Any unauthorized assignment and delegation by you will be considered void.
Throughout this Agreement, each section includes titles and may include summaries of the following terms and conditions. These section titles and summaries are not legally binding.
If any part of this Agreement is deemed invalid or unenforceable, that specific portion will be interpreted to reflect the original intent of the parties, and the remaining portions will continue in full force and effect. StaTechs' failure to enforce any provision of this Agreement will not be considered a waiver of our right to enforce that provision. Our rights under this Agreement will persist despite any termination of this Agreement.
This Agreement can only be modified by a written amendment signed by an authorized representative of StaTechs or by StaTechs posting a revised version in accordance with the Changes to These Terms section. The Terms of Service, in conjunction with the Version^ Privacy Statement, constitute the entire and exclusive agreement between you and us. This Agreement supersedes any previous proposal or agreement, whether oral or written, and any other communications between you and StaTechs regarding the subject matter of these terms, including any confidentiality or nondisclosure agreements.
